End User License Agreement

Spendly Android Application

This End User License Agreement ("EULA") is a binding legal agreement between you and Clearflow Digital Private Limited governing your download, installation, and use of the Spendly Android application. By installing or using Spendly, you agree to be bound by this EULA.

1. License Grant

Clearflow Digital Private Limited ("Licensor") grants you a non-exclusive, non-transferable, revocable, limited license to install and use the Spendly Android application ("App") on a single Android device that you own or control, solely for your personal, non-commercial use in accordance with this EULA and the Google Play Terms of Service.

2. License Restrictions

You agree not to:

  • Copy, modify, reverse engineer, decompile, or disassemble the App, except to the extent expressly permitted by applicable law.
  • Rent, lease, lend, sell, redistribute, or sublicense the App to any third party.
  • Use the App for any unlawful purpose or in violation of any applicable laws or regulations.
  • Remove, alter, or obscure any copyright, trademark, or other proprietary notices in the App.
  • Use the App in any manner that could damage, disable, overburden, or impair Clearflow's servers or networks.
  • Attempt to gain unauthorised access to any part of the App, its backend services, or other users' accounts.
  • Use automated scripts, bots, or scrapers to interact with the App or its APIs.

3. SMS Permission

Spendly requests the Android READ_SMS permission solely to identify and process transactional bank spend signals (UPI, NEFT, IMPS payment confirmations). Your use of this permission is governed by the following:

  • Limited scope: The App reads only messages that match transactional UPI or bank notification patterns. It never reads personal conversations, OTPs, promotional messages, or non-financial content.
  • On-device processing: All spend signal parsing occurs locally on your device. Raw spend signal text is never transmitted to Clearflow's servers.
  • No storage: Raw spend signal content is not stored locally or in the cloud. Only structured metadata (amount, merchant category, date) is optionally stored.
  • Revocable: You may revoke this permission at any time through your device settings. Revocation disables automatic transaction detection but does not affect data already processed.
  • Transparency: Spendly will never use SMS permission to read OTPs, authentication codes, or any message unrelated to financial transactions.

4. Subscription Services

Spendly may offer premium subscription features. Subscriptions are billed through Google Play Billing and subject to the following:

  • Auto-renewal: Subscriptions renew automatically unless cancelled at least 24 hours before the renewal date via Google Play settings.
  • Cancellation: You may cancel at any time through Google Play. Access continues until the end of the current billing period.
  • Refunds: All payments and refunds are processed by Google Play in accordance with their policies. Clearflow does not process payments or issue refunds directly.
  • Price changes: We may modify subscription pricing with at least 30 days' notice. Continued use after the price change constitutes acceptance.
  • Free trial: Any free trial period begins at activation and ends at the stated duration. You will be charged at the end of the trial unless cancelled beforehand.

5. Intellectual Property

The App, including its code, design, algorithms, visual interfaces, and branding, is the exclusive property of Clearflow Digital Private Limited and its licensors. This EULA does not transfer any ownership or intellectual property rights to you. All rights not expressly granted are reserved by Clearflow.

6. Privacy and Data

Your use of the App is subject to our Privacy Policy, which explains what data we collect, how we process it, and your rights under the DPDP Act 2023. By using the App, you consent to the data practices described in the Privacy Policy. You may request data deletion at any time as described in our Data Deletion Policy.

7. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. CLEARFLOW DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

This disclaimer applies to the maximum extent permitted by applicable law. Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CLEARFLOW DIGITAL PRIVATE LIMITED BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

Clearflow's total liability for any claim arising from this EULA or your use of the App shall not exceed the amount you paid to Clearflow (if any) in the twelve months preceding the claim.

9. Termination

This EULA is effective until terminated. Clearflow may terminate this EULA at any time without notice if you violate any of its terms. Upon termination, you must cease all use of the App and delete all copies from your device. Sections 2, 5, 7, 8, and 10 shall survive termination.

10. Governing Law

This EULA is governed by the laws of India. Any disputes arising from this EULA shall be subject to the exclusive jurisdiction of the competent courts in India. The parties agree to first attempt informal resolution for 30 days before pursuing arbitration under the Arbitration and Conciliation Act, 1996.
