These Terms of Service govern your access to and use of Clearflow Digital's websites, applications (including Spendly), and services. By using our services, you agree to be bound by these terms. If you do not agree, please do not use our services.

1. Service Overview

Clearflow Digital Private Limited provides software products focused on financial behaviour analytics. These services are informational in nature and are designed to empower users with insights into their spending habits.

2. Eligibility and Age Restriction

You must be at least 18 years of age to use our services. By accepting these terms, you represent that you are 18 years of age or older. If you are under 18, you may not use Spendly or any Clearflow Digital service. Parents or guardians who believe a minor has accessed our services should contact our Grievance Officer.

3. Our Products are Not Financial Institutions

We are not a bank, payment processor, or digital wallet.
We do not provide lending services or facilitate loans.
Our AI-driven insights do not constitute professional financial advice.
All spending insights are for informational and educational purposes only.
You should consult a qualified financial advisor for professional advice.

Spendly is an expense tracking and analytics tool. It does not execute trades, process payments, or manage investments.

4. User Responsibilities

You agree to use our services lawfully and in compliance with all applicable Indian laws.
You are responsible for the accuracy of any data you provide to us.
You must protect your device and account credentials. You are responsible for all activity under your account.
You must not misuse our services for fraudulent, abusive, or spam activities.
You must not attempt to access another user's account or data.
You must comply with our Acceptable Use Policy, which is incorporated by reference.

5. Premium Subscriptions and Payments

Spendly offers a premium subscription with additional features. Premium tiers, pricing, and billing periods are described within the app.

Auto-renewal: Subscriptions renew automatically unless cancelled at least 24 hours before the renewal date.
Cancellation: You may cancel at any time through your Google Play subscription settings. Access continues until the end of the current billing period.
Refunds: Refunds are handled by Google Play's payment platform in accordance with their policies. Please contact Google Play support for refund requests. Clearflow Digital does not process refunds directly.
Price changes: We may change subscription prices with at least 30 days' notice. Continued use after the change constitutes acceptance.
Free trial: Free trials begin at activation. You will be charged at the end of the trial unless cancelled beforehand.

6. Service Availability and Disclaimer

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any feature at any time with reasonable notice.

We use industry-standard security measures including HTTPS/TLS encryption, CSRF protection, and rate limiting, but no internet-based service can guarantee absolute security.

7. Limitation of Liability

To the maximum extent permitted by Indian law, Clearflow Digital Private Limited and its officers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to financial losses, data loss, or business interruption, arising from the use of our software.

8. Indemnification

You agree to indemnify and hold harmless Clearflow Digital Private Limited from any claims, damages, losses, or expenses (including legal fees) arising from your violation of these terms, misuse of our services, or infringement of any third-party rights.

9. Governing Law and Dispute Resolution

These terms are governed by the laws of India. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the competent courts in India.

Arbitration: In the event of a dispute, the parties agree to first attempt resolution through informal negotiation. If unresolved within 30 days, the dispute shall be settled by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in India.

10. Termination

We reserve the right to suspend or terminate your access to our services if you violate these terms, engage in fraudulent activity, or if required by law. Upon termination, your right to use the services ceases immediately. Sections on limitation of liability, indemnification, and governing law survive termination.

11. Entire Agreement

These terms constitute the entire agreement between you and Clearflow Digital regarding the use of our services and supersede any prior agreements or understandings.
